All services are consultancy-based and tailored to each client. The scope, fees, and deliverables of any engagement will be set out in a written proposal, statement of work, or agreement.

Where no separate agreement exists, services are provided on a best-endeavours basis only.

3. No Guarantees or Outcomes

While ACG applies professional expertise, experience, and recognised best practices, no guarantees are given regarding:

• Cost savings, efficiency gains, or productivity outcomes

• Regulatory compliance

• Business growth, revenue, or operational results

AI and automation outcomes depend on multiple external factors beyond our control, including data quality, internal decision-making, adoption, and third-party platforms.

4. Client Responsibilities

Clients are responsible for:

• Providing accurate, complete, and timely information

• Ensuring they have the legal right to share any data or materials

• Making final business, operational, and legal decisions

• Ensuring compliance with applicable laws and regulations

ACG is not responsible for decisions taken by clients based on consultancy advice.

5. Fees, Payments, and Assessments

​

• Fees are payable as outlined in written proposals or invoices

• Consultancy assessments and engagements are not free unless explicitly stated

• Payment terms are as specified on invoices

• Late or non-payment may result in suspension or termination of services

All fees are exclusive of VAT or applicable taxes unless stated otherwise.

6. Intellectual Property

All methodologies, frameworks, documents, reports, and materials created by ACG remain the intellectual property of ACG Automation Consultancy Group, unless expressly transferred in writing.

Clients are granted a non-exclusive, non-transferable licence to use deliverables for internal business purposes only.

7. Confidentiality

Both parties agree to keep confidential any non-public, commercially sensitive, or proprietary information disclosed during an engagement, except where disclosure is required by law.

This obligation survives the termination of any engagement.

8. Limitation of Liability

To the fullest extent permitted by law:

• ACG shall not be liable for indirect or consequential losses

• Total liability shall not exceed the fees paid for the specific services giving rise to the claim

• ACG is not liable for failures or losses caused by third-party tools, platforms, or providers

Nothing in these Terms excludes liability for fraud or other liabilities that cannot be excluded by law.
